Business Overview

Centurion Electronics plc is an established brand synonymous with the development of quality entertainment and infotainment systems for automotive and specialist applications including aviation and leisure vehicles.

As a tier one systems supplier to major global automakers, Centurion supplies in-car infotainment systems, competitively engineered, validated and homologated to high industry standards, and fully integrated into the vehicle architecture. Working towards ISO/TS16949 standards, our dedicated team boasts extensive automotive industry expertise, enabling the company to operate to the high standards required by the automotive industry.

The Company, is supported by strategic supplier partnerships ensuring that the latest technology is available including high resolution TFT LCD screens, multi disc DVD changers with DivX, wireless infra-red remote controls, blue-tooth headphones, i-pod interface and aux inputs for PlayStations. In December 2006, Centurion opened an office in Hong Kong to manage the supplier relationships directly.

Our individual systems can be specifically designed to be stand-alone, removable roof mounted, or incorporated into the seat headrests, and are capable of integration within the vehicle's primary systems and speaker systems.

Ernst Kastner - Non-Executive Chairman
- Legal and Corporate Finance background
- 13 years experience across the legal, private equity and financial advisory industries with Mayer Brown Rowe & Maw, Security Capital and Doughty Hanson & Co.
- Consultant to private equity
- Experience includes analysing and underwriting corporate and asset acquisitions, carrying out due diligence, leading negotiation and execution and devising strategies.

Christopher Rhodes - Chief Executive and Company Secretary
- Automotive background
- 30 years automotive experience with companies such as Ford, Valeo and Johnson Controls
- Last position: Vice President and General Manager – Ford PAG Business Unit, Johnson Controls
- Experienced in general management, business expansion, new product launches, and leading positive change.

Michael Attridge - Technical Director
- 10 years automotive experience with companies such as Johnson Controls
- Extensive experience in general management and in particular managing in a product development environment
- A trained Six-Sigma black-belt, Mick joined Centurion in 2004 in order to create and develop a technical and organisational expertise to perform to Tier 1 automotive supply standards and expectations

Steve Parrish - Sales & Marketing Director (Not currently on the Board)
- 14 years automotive experience gained primarily within Japanese Tier-1 multinational companies
- Joined Centurion in October 2007 to enhance and further expand the company's successful growth with automotive OEMs
- Experienced in leading pan-European sales & marketing teams and winning automotive contract awards with major OEMs

Directors Responsibilities

The Board is responsible to shareholders for the proper management of the company. The Board meets formerly on a monthly basis and, in addition, ad hoc meetings are called to address specific issues requiring board approval. At formal meetings the Board reviews trading performance, cash flow, and set and monitors strategies for the company’s development. To enable the Board to discharge its duties, all directors receive appropriate and timely information.

Company law requires the directors to prepare financial statements of each financial year which give a true and fair view on the state of affairs of the company and of the profit or loss of the company for that year. In preparing those financial statements, the directors are required to:

- Select suitable accounting policies and then apply them consistently;
- Make judgements and estimates that are reasonable and prudent;
- State whether applicable accounting standards have been followed, subject to any material departures disclosed and explained in the financial statements; and
- Prepare financial statements on the going concern basis unless it is inappropriate to presume that the company will continue in business

The directors are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the company and to enable them to ensure that the financial statements comply with the Companies Act 1985.They are also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. The directors are responsible for ensuring that the directors report and other information included in the annual report is prepared in accordance with company law in the United Kingdom.

A Remuneration Committee and Audit Committee have been established by the Board and their responsibilities are:

Remuneration Committee
The Company's remuneration committee comprises of one executive director; C Rhodes and one non-executive director; E Kastner. It is responsible for making recommendations to the Board on the Company's framework of executive remuneration and cost.

The overall policy of the committee is to provide pay and benefits packages to directors that are appropriate to retain and motivate them to meet the objectives set by the Board.

Audit Committee
The audit committee comprises of one executive director; C Rhodes, and one non-executive director; E Kastner. The audit committe is chaired by E Kastner. The audit committee determines the application of the financial reporting and internal control principles, including reviewing the effectiveness of the Company's financial reporting, internal control and risk management procedures and the scope, qualiy amd results of the external audit.
